TERMS OF PROVISION OF SERVICES NextGenius IT Solutions Inc. Version 01 / Effective date: 26.02.20261. General Provisions1.1. These Terms of Provision of Services (hereinafter - the “Terms”) govern the procedure and conditions under which NextGenius IT Solutions LLC, a company registered under the laws of the State of Delaware, USA, with registered address at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex, USA, EIN 35-2786255 (hereinafter - the “Contractor”), provides services to individuals and legal entities (hereinafter - the “Customer”).1.2. The Contractor provides IT development, consulting, advisory and support services that are non-licensed activities in the United States.1.3. By submitting a request for services, making payment, or otherwise using the Contractor’s services, the Customer confirms full acceptance of these Terms.2. Scope of Services2.1. The Contractor provides professional IT and consulting services, including but not limited to:- custom software development (web and mobile applications);
- cloud integration and infrastructure advisory;
- cybersecurity and data protection consulting;
- IT consulting, system analysis, and digital strategy;
- managed IT support services;
- DevOps and automation consulting.
2.2. The Contractor may engage third-party IT specialists, technical resources, marketing, advertising, and consulting providers as subcontractors solely for the purpose of fulfilling its contractual obligations to Customers. The Contractor remains the primary service provider and bears full responsibility for service delivery.2.3. The specific scope, volume, format, and timeline of services are defined individually and confirmed by invoice, commercial proposal, written correspondence, or other agreed form.3. Ordering of Services3.1. The Customer submits a request for services:3.2. Based on the request, the Contractor issues an invoice specifying the scope of services, cost, and payment terms.3.3. Services are provided only after full or partial prepayment, unless otherwise expressly agreed in writing.4. Payment Terms4.1. Payment for services is made by the Customer in accordance with the invoice issued by the Contractor.4.2. The date of payment is deemed to be the date on which funds are credited to the Contractor’s bank account or payment system account.4.3. All payments are made in accordance with applicable laws and banking regulations.5. Provision of Services5.1. Consulting services may be provided:- in written form (reports, recommendations, technical documentation, analysis, etc.); or
- in the format of online meetings (video calls, conferences).
5.2. A written consulting service is deemed provided at the moment the relevant materials or information are sent to the Customer’s email or other agreed communication channel.5.3. An online consultation is deemed provided at the moment access to the meeting (invitation/link) is made available to the Customer.5.4. Development, support, or project-based services are deemed provided in accordance with the agreed milestones, deliverables, or timelines specified in the invoice or written agreement.6. Rescheduling and Non-Attendance6.1. If the Customer is unable to attend a scheduled online consultation and notifies the Contractor at least 1 hours before the scheduled time, the consultation may be rescheduled once within 20 calendar days.6.2. If the consultation does not take place within this period due to the Customer’s fault, the service is considered provided and payment is non-refundable.6.3. The Contractor may reschedule an online consultation due to technical issues or circumstances beyond the Contractor’s control. In such case, an alternative date shall be offered within 30 calendar days.6.4. If the Customer fails to attend a scheduled online consultation and does not notify the Contractor on the same calendar day on which the consultation was scheduled, prior to the scheduled consultation time, the service shall be deemed fully provided and no refund or rescheduling shall apply.7. Acceptance of Services7.1. Services are considered accepted unless the Customer submits a written and reasoned objection to the Contractor within five (5) calendar days from the date of service delivery, by email to the Contractor’s official contact email address nextgeniusitsolutions@gmail.com.7.2. Acceptance is performed without signing a separate acceptance act. These Terms serve as confirmation of service acceptance.7.3. The absence of written objections within the specified period constitutes full acceptance of the services as properly provided and of appropriate quality.8. Claims and Refunds8.1. The Contractor reviews Customer claims within 10 calendar days from the date of receipt.8.2. Refunds, if approved by the Contractor, are processed using the same payment method originally used by the Customer, unless otherwise required by applicable law or payment service provider regulations.8.3. Services that have already been provided or made available to the Customer are non-refundable, unless otherwise expressly agreed in writing between the parties or required by applicable law.9. Non-Conclusion of Agreement9.1. These Terms shall not be considered concluded if:- payment is not made within the established timeframe;
- the Customer fails to provide necessary information for service provision;
- the Customer provides inaccurate or misleading information.
10. Final Provisions10.1. These Terms are governed by the laws of the State of Delaware, United States, unless mandatory provisions of another applicable jurisdiction apply.10.2. The Contractor reserves the right to amend these Terms at any time. The updated version becomes effective upon publication on the Contractor’s Website.10.3.
